In these General Terms & Conditions, the following definitions apply:
Real Estate Agency: Qvillas B.V., registered with the Chamber of Commerce of Bonaire under no. 9564, with its registered office in Bonaire and its office located at Boulevard Gobernador Nicolaas Debrot 14, Bonaire.
Client: The natural person or legal entity, whether or not residing or established outside the Caribbean Netherlands, who has instructed the Real Estate Agency to provide services.
Engagement: The agreement between the Client and the Real Estate Agency for the provision of services.
Services: All activities performed by the Real Estate Agency, including but not limited to mediation in the purchase and sale, rental, management and valuation of real estate on Bonaire.
Caribbean Netherlands: Bonaire, Sint Eustatius and Saba.
These General Terms & Conditions apply to all offers, quotations, engagements and agreements between the Real Estate Agency and the Client.
Deviations from these terms shall only be valid if agreed upon in writing.
Any general terms and conditions of the Client are expressly rejected.
An Engagement is established by written confirmation from the Real Estate Agency or by the actual commencement of the Services.
The Real Estate Agency is entitled to refuse an Engagement without stating a reason.
The Real Estate Agency shall perform the Engagement to the best of its knowledge and ability.
The Real Estate Agency has an obligation to use its best efforts and does not guarantee a specific result.
The Real Estate Agency may engage third parties in the performance of the Engagement.
The Client shall provide all information necessary for the proper performance of the Engagement in a timely manner.
The Client guarantees the accuracy and completeness of the information provided.
The Client shall refrain from any actions that may hinder the performance of the Engagement.
The fee of the Real Estate Agency shall be specified in the confirmation of the Engagement.
All amounts are stated in US dollars (USD), unless expressly agreed otherwise.
All amounts stated are exclusive of applicable taxes, including General Expenditure Tax (ABB), unless otherwise specified.
The Real Estate Agency is entitled to charge the Client for costs incurred, including marketing, promotional and advertising costs.
The liability of the Real Estate Agency is limited to the fee charged.
The Real Estate Agency shall not be liable for indirect damages, including consequential damages and loss of profit.
Unless otherwise agreed, the consumer or company is not permitted to conclude agreements outside the Real Estate Agency, conduct negotiations, make use of similar services provided by others and/or undertake activities that may hinder the Real Estate Agency in carrying out its mediation Engagement or interfere with its activities.
The consumer or company shall cooperate with the Real Estate Agency in fulfilling its obligations, for example with regard to the identification of the Client, as required under the applicable legislation on the prevention of money laundering and terrorist financing (Wwft).
Upon receipt of the purchase agreement, the consumer or company and the buyer shall review its contents. The Real Estate Agency cannot be held liable, in or out of court, for either the contents of the purchase agreement or any consequences arising from it.
Either party may terminate the Engagement in writing, subject to the agreed notice periods set out in the Engagement agreement.
In the event of early termination, Qvillas may be entitled to compensation for Services already performed and costs already incurred.
The Real Estate Agency processes personal data in accordance with the applicable laws and regulations of the Caribbean Netherlands.
Personal data may, where necessary for the performance of the Engagement, be shared with third parties such as civil-law notaries, banks, appraisers and government authorities.
For international Clients, personal data may also be processed outside the Caribbean Netherlands, subject to appropriate safeguards.
Complaints regarding the Services must be submitted to the Real Estate Agency in writing within 30 days of discovery.
The submission of a complaint does not suspend the Client's payment obligations.
All agreements between the Real Estate Agency and the Client are governed by the BES Civil Code and other applicable laws and regulations of the Caribbean Netherlands.
Any disputes arising from or related to the agreement shall be submitted exclusively to the competent court on Bonaire.
These General Terms & Conditions have been drawn up in the Dutch language.
If a translation is provided, for example in English or Spanish, the Dutch version shall prevail in the event of any discrepancy in interpretation.
The Real Estate Agency is not responsible for any tax, legal or immigration consequences of real estate transactions for international Clients.
The Client is expected to obtain independent advice regarding local taxes, permits and regulations.
These General Terms & Conditions are intended for real estate agencies established and operating on Bonaire and take into account international Clients and transactions in USD.
The following provisions relate to access to and use of the Qvillas Website and supplement these General Terms & Conditions and the Qvillas Privacy Policy.
This Article governs access to and use of the website operated by Qvillas B.V. (the “Website”). By accessing, browsing or using the Website, whether manually or by automated means, each person or entity agrees to be bound by this Article.
No content from the Website, whether in whole or in part, may be copied, reproduced, downloaded, stored, republished, distributed, transmitted, displayed, made available to the public or otherwise used in any form or by any means without the prior written consent of Qvillas B.V., except where permitted by law.
Without the prior written consent of Qvillas B.V., no person or entity may systematically or automatically retrieve, extract, scrape, crawl, harvest, index, monitor, copy or otherwise collect any data, content or other information made available through the Website.
This prohibition includes, without limitation:
Framing, embedding, mirroring or deep-linking to any page, property listing or other content of the Website for commercial purposes is prohibited without the prior written consent of Qvillas B.V.
Qvillas may amend these General Terms & Conditions and the provisions relating to the use of the Website from time to time, for example when our Services, Website or applicable laws and regulations change.
